VICTOR MCCALL, JD
Victor has more than thirty years of experience as an attorney with a focus on business law, including entity formation, business acquisitions and sales, joint ventures, business structuring, and contract drafting and negotiation. His litigation background gives him a unique ability to identify potential weaknesses in agreements and anticipate issues before they become disputes. While many business attorneys have limited courtroom experience, Victor’s dual background allows him to evaluate contracts from both a transactional and litigation perspective, helping clients secure stronger protections and minimize risk. Licensed in Texas, Victor represents both privately held and publicly traded companies around the world, helping them achieve their business objectives.
Victor works with clients across a wide range of industries, including technology, construction, manufacturing, energy, and healthcare. Experienced in mergers and acquisitions, he guides buyers and sellers through every stage of a transaction. From preparing and reviewing documentation to identifying potential challenges and developing practical solutions, Victor provides comprehensive counsel throughout the process. His deep understanding of the complexities involved in buying and selling businesses enables him to help clients navigate transactions efficiently and successfully. In one notable matter, Victor worked alongside an investment banker to finance a multi-million-dollar oil sands mining operation in Canada.
Trained in Mediation and Alternative Dispute Resolution, Victor has a strong track record of resolving complex business disputes. In one instance, he successfully secured a multi-million-dollar buyout of a client’s ownership interest in a company. His combination of transactional knowledge and dispute-resolution experience allows him to provide strategic, practical advice tailored to his clients’ long-term business goals.
Victor attributes his unique and effective approach to practicing law to the profound influence of his parents. His father instilled in him the value of lifelong learning, while his mother taught him the importance of empathy and understanding. Victor and his wife, Autumn, live in Dallas with their standard poodle, Archie, affectionately known around the office as the “Law Dog” when he visits on Fridays. Victor is especially proud of his two sons, Hunter and Chase. In addition to volunteering annually with the Trinity River Clean-Up, he provides legal assistance to several charitable organizations. Outside of work, Victor enjoys fly fishing, traveling, collecting wine, and exploring Dallas’s vibrant culinary scene.
Experience – Representative Matters
Business Law & Business Litigation
- Trust litigation: successfully defended a trustee sued for multiple millions of dollars.
- Partner disputes: represented a thirty-year-old construction company owned by family members who sued one another. Victor and the firm forced a purchase of their client’s interest for multiple millions of dollars, in excess of $2 million.
- Successfully prosecuted employees who breached their non-competes and confidentiality agreements with their employer.
- Represented a Vancouver-based gold and copper mining company with properties in the U.S. and Peru. Traveled to Peru to do a legal assessment of safety and environmental concerns. Advised and helped with decisions that protected the company, decreasing their potential liabilities.
- Negotiated the acquisition of uranianian properties for a Vancouver-based mining company with properties in the United States. Drafted and negotiated all necessary agreements for the sale and purchase of properties.
- Represented a Houston-based, Canadian oil and gas company. Negotiated and drafted agreements for the acquisition of several large mineral properties in the Permian Basin of Texas and New Mexico.
- Represented the buyer of a glass manufacturing company based in North Texas. Drafted the acquisition documents and assisted the buyer with the negotiation and structuring of the acquisition.
- Successfully prosecuted two consumer class actions against a major computer company and a national bank.
