With a background in real estate and mineral title, Tyler has experience conducting due-diligence and title research to give his clients confidence in their real estate transactions, identifying issues before they become problems.

Experience – Representative Matters

Business Transactions

  • Represented seller in the $1.8 million stock sale of a flooring products company.
  • Represented buyer in the purchase of an LLC membership equity stake in an aviation services business valued at approximately $1.6 million.
  • Represented seller in the divestment of controlling interest in a home health/physical therapy business valued at over $2.5 million. Drafted and negotiated the purchase and financing agreements for sale of the LLC structured as a membership interest purchase agreement.
  • Prior experience as in-house counsel for a real estate and mineral investment business. Extensively researched mineral and real estate titles for investment due diligence.

Business Formations and Management

  • Assisted numerous clients in the formation of new business ventures (LLC, LP, INC.).
  • Assisted clients in retaining talent by drafting a variety of employment agreements, independent contractor agreements, and member services agreements on behalf of businesses and start-ups, each reflecting the unique needs and goals of the client.
  • Protected the trade secrets and intellectual property of small businesses through the drafting, negotiation, and enforcement of confidentiality and non-disclosure agreements.
  • Regularly advises clients in the negotiation and drafting of commercial office lease agreements.
  • Represented and advised clients in landlord/tenant disputes of commercial office leases.
  • Represented numerous small business owners in contentious break-ups and dissolutions of LLC partnerships, including through stock sales, membership buyout agreements, and litigation when necessary.

Business Litigation

  • Represented a highway services company in the pre-litigation recovery of hundreds of thousands of dollars in past due receivables for services rendered.
  • Litigated numerous cases and recovered hundreds of thousands of dollars in past due receivables for companies in oil field services, industrial products manufacturing, roofing, and construction contracting.
  • Successfully defended business owners from suit claiming theft of trade secrets and other competitive business interference claims.

Construction Liens/Litigation

  • Defended numerous commercial general contractors and subcontractors from litigation claims.
  • Secured numerous payments on behalf of construction companies, contractors, and material suppliers for unpaid invoices via the filing of mechanic/materialman’s liens and subsequent lien foreclosure litigation.
