James Atwood practices in the areas of estate planning, tax planning, business law and planning and asset protection planning:

  • Review the estate and asset protection planning goals of wealthy and high income clients and design plans around their goals
  • Prepare trusts to: (i) minimize the impact of the Federal estate and gift taxes, (ii) protect against future spouses, (iii) shield assets from the creditors of beneficiaries, and (iv) protect underage beneficiaries
  • Prepare life insurance trusts to provide for beneficiaries and prevent Federal estate taxation of the death proceeds
  • Prepare family entities (including LLC’s) to shield assets from future creditors’ claims and facilitate the transfer of interest to descendants
  • Structure gifts and/or sales of interests in family entities to defective grantor trusts
  • Charitable planning to help clients accomplish charitable goals and minimize estate, gift and income taxes via such plans as charitable remainder trusts and private foundations
  • Estate planning for non-US citizens
  • Form, structure and qualify charitable organization for tax exempt status under Section 501(c)(3) of the Internal Revenue Code of 1986
  • Advise charitable organizations regarding the unrelated business income tax, sale and development of real estate, qualifying for public charity status and the rules and restrictions applicable to private foundations
  • Prepare medical directives to so clients can specify end of life decisions
  • Prepare medical powers of attorney so clients can appoint trusted individuals to make medical decisions on their behalf
  • Structure and form legal entities to protect clients’ personal assets from the liabilities arising from their businesses
  • Structure and form legal entities to hold investment real estate and other investment assets
  • Draft and negotiate operating agreements for jointly owed legal entities, which address management issues and buy/sell provisions
  • Draft employment agreement for key employees, which address trade secret issues, covenants not to compete and anti-solicitation provisions
  • Structure the sale/purchase of businesses, which includes drafting purchase agreements, continuing services agreements, covenants not to compete and related documents
